Terms of Service

Welcome to Memion, provided by Memion LLC ("we," "us," "our," or "Company"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, software, and related services (collectively, the "Service" or "Memion"), which is designed to automate the capture, organization, and sharing of institutional knowledge within organizations.

By accessing or using the Service, you represent and warrant that you are authorized by your organization (e.g., your employer or client) to accept these Terms on its behalf and on behalf of all its members, and that you have the authority to bind that organization and its members to these Terms. In such cases, 'you' and 'your' will refer to that organization and its members. If you do not agree to these Terms or do not have the requisite authority, do not access or use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or through the Service and updating the "Effective Date" above. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

1. Description of the Service

Memion is a cloud-based platform that automatically captures, organizes, and preserves organizational knowledge from daily workflows, enabling seamless sharing and access across teams. Features may include AI-powered curation, integrations with third-party tools, search functionality, and tiered subscription plans (e.g., Freemium, Basic, Professional, Enterprise). The Service may evolve, and we reserve the right to modify, add, or remove features at any time.

2. Eligibility and Account Registration

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. To access certain features, you must create an account ("Account") by providing accurate information, including your name, email address, and organization details. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. Notify us immediately of any unauthorized access or use.

If you are an administrator for an organization ("Admin"), you may invite users ("Users") to join your organization's workspace. Admins are responsible for managing User access and ensuring compliance with these Terms.

3. Subscription and Payment

The Service is offered on a subscription basis. Depending on your plan:

  • Freemium/Trial Tier: Limited features available at no cost, subject to usage limits.
  • Paid Tiers (Basic, Professional, Enterprise): Billed monthly or annually per user or as a custom quote. Pricing details are available on our website or in your subscription agreement.

Payments are processed through third-party providers (e.g., Stripe). You authorize us to charge your provided payment method for all fees. Subscriptions auto-renew unless canceled at least 30 days before the renewal date. All fees are non-refundable, except as required by law.

We may offer add-ons, professional services, or custom integrations for additional fees. Enterprise customers may receive dedicated support, custom onboarding, or API access, subject to separate agreements.

If your Account is past due, we may suspend access until payment is received. You are responsible for all taxes associated with your use of the Service.

4. User Content and Data

You and your Users may upload, input, record, import, or generate content through the Service, including text, documents, interviews, workflows, and knowledge insights ("User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and distribute your User Content as necessary to provide the Service (for example, to extract knowledge, create backups, or operate search).

The Customer (your organization) is solely responsible for all User Content that it and its Users put into the Service, including legality, accuracy, confidentiality, intellectual-property rights, and any employment, privacy, or industry obligations that apply to that content. That responsibility is subject only to Memion’s baseline prohibitions in our Acceptable Use Policy, which is incorporated into these Terms. We do not review ordinary business content for you and are not your records manager, compliance officer, or publisher.

You represent that you have all rights needed to put User Content into the Service. We may remove or restrict User Content that violates the Acceptable Use Policy or applicable law. Admins may set additional workspace rules (flagging, retention, optional scanning, and audit logs); those rules are yours to configure and enforce.

The Service may use AI to process User Content (e.g., tagging, summarization). While we implement security measures, you acknowledge that AI outputs may not be perfect and should be reviewed for accuracy.

5. Intellectual Property

The Service, including all software, designs, trademarks, and content (excluding User Content), is owned by us or our licensors and protected by intellectual property laws. You are granted a limited, non-transferable, revocable license to use the Service for your internal business purposes, subject to these Terms and your subscription plan.

You may not: (i) copy, modify, or reverse-engineer the Service; (ii) use the Service to develop competing products; or (iii) remove any proprietary notices.

6. Prohibited Conduct and Acceptable Use

You agree not to misuse the Service (for example: illegal use, malware, harassment, unauthorized scraping, credential sharing, or attempts to disrupt or bypass security). The complete list of platform-wide content and use prohibitions is in our Acceptable Use Policy. That AUP is incorporated into these Terms. Except for those baseline prohibitions, the Customer is responsible for content it and its Users put into the Service and for any stricter rules it sets in its workspace.

We may act to enforce the AUP and these Terms and may cooperate with law enforcement when required.

7. Data Privacy and Security

We handle your data in accordance with our Privacy Policy (available on our website), which is incorporated into these Terms. We implement reasonable security measures to protect User Content, including encryption and compliance with standards like SOC 2.

You are responsible for complying with data protection laws applicable to your User Content (e.g., obtaining consents for personal data). For Enterprise customers, we may enter into data processing agreements.

8. Third-Party Integrations

The Service may integrate with third-party tools (e.g., Google Drive, CRM, ERP). You are responsible for complying with those third parties' terms. We are not liable for any issues arising from third-party integrations.

9. Termination

You may cancel your subscription at any time, but fees are non-refundable. We may suspend or terminate your Account for violations of these Terms, non-payment, or if we discontinue the Service. Upon termination, your access ends, but we may retain User Content as required by law or for backups.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED OUTPUTS MAY CONTAIN INACCURACIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Service, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the breach, termination, or validity thereof, shall first be submitted to mediation in Wyoming, USA, with a mutually agreed-upon mediator. If the dispute is not resolved through mediation within sixty (60) days, then it shall be resolved exclusively in the state or federal courts located in Wyoming, USA. You waive any objections to venue or jurisdiction. For international clients, the parties may agree to binding arbitration in accordance with the rules of a recognized international arbitration body, such as the International Chamber of Commerce (ICC), as an alternative to litigation, to be held in Wyoming, USA.

14. Miscellaneous

  • Force Majeure: We are not liable for delays caused by events beyond our control (e.g., natural disasters).
  • Severability: If any provision is invalid, the remainder remains enforceable.
  • No Waiver: Failure to enforce a right does not waive it.
  • Assignment: We may assign these Terms without your consent; you may not assign without our written approval.
  • Entire Agreement: These Terms, along with any subscription agreement, our Privacy Policy, and our Acceptable Use Policy, constitute the entire agreement.
