Acceptable Use Policy
This Acceptable Use Policy (“AUP”) is part of the Terms of Service (“Terms”) for Memion, provided by Memion LLC (“Memion,” “we,” “us,” or “our”). Capitalized terms not defined here have the meaning given in the Terms.
Memion is a knowledge platform for organizations. Customers decide what their people put into the Service. This AUP states the only platform-wide content prohibitions Memion itself enforces. Everything else is the Customer’s responsibility, including additional rules the Customer chooses to set for its own workspace.
1. Who this applies to
This AUP applies to every organization that uses Memion (the “Customer”), to that organization’s administrators, and to every person the Customer invites or allows to use the Service (“Users”). The Customer is responsible for its Users.
2. Customer responsibility for content
The Customer is solely responsible for all content that it and its Users submit, upload, import, record, generate, or otherwise put into the Service (“User Content”), including interviews, transcripts, documents, messages, knowledge extracted from that material, and any metadata the Customer or its Users add.
That responsibility includes legality, accuracy, confidentiality, intellectual-property rights, employment and privacy obligations, and any industry or internal policy the Customer is subject to. Memion does not review ordinary business content for the Customer and is not the Customer’s records manager, HR department, compliance officer, or publisher.
Memion’s role is limited to: (a) providing the Service; (b) enforcing the baseline prohibitions in Section 3; and (c) offering optional tools so the Customer can set and enforce its own additional content rules (flagging, retention, optional scanning, and audit logs) inside its workspace. Use of those tools is the Customer’s choice and the Customer’s responsibility.
Subject only to the baseline prohibitions in Section 3, Memion does not decide what the Customer may keep, share internally, or delete. If the Customer’s industry requires it to retain Social Security numbers, health records, or similar information inside a restricted department, that is a Customer decision under the Customer’s own rules—not a Memion content decision. Memion does not prohibit Customers from storing regulated data (e.g., personal data, health information, financial data) when the Customer is authorized and chooses to do so under its own policies and legal obligations.
3. Memion’s baseline prohibitions
You may not use the Service, and you may not permit Users to put into the Service, content or activity that:
- Violates applicable law, including content that is itself illegal to possess or distribute.
- Depicts or promotes the sexual exploitation or abuse of children, or any child sexual abuse material.
- Is intended to design, deploy, or distribute malware, ransomware, exploits, or other harmful code, or to gain unauthorized access to systems, accounts, or data (including other Customers’ workspaces).
- Is used to threaten, stalk, or incite imminent violent crime against a person or group.
- Infringes someone else’s intellectual-property or other proprietary rights in a way that the Customer has no right to put into the Service.
- Is sent as spam, phishing, or other deceptive bulk communication through the Service.
- Is used for fraud, social engineering, or impersonation of a real person or organization.
- Attempts to disrupt, overload, scrape without authorization, or circumvent security or usage limits of the Service.
- Uses the Service in a way prohibited by export-control or sanctions laws applicable to the Customer or to Memion.
These baseline prohibitions are the only content rules Memion applies to every Customer. They are not a substitute for the Customer’s legal, HR, security, or records obligations.
4. Customer-defined rules
Each Customer may define additional content rules for its own workspace—for example, terms it wants flagged, how long interviews or documents are kept, whether optional scanning runs at ingest, and who may flag items for review. Those rules apply only inside that Customer’s workspace. They do not change this AUP, and Memion is not responsible for how the Customer configures or enforces them.
Optional scanning, if the Customer turns it on, is a first-party keyword and policy check the Customer configures. It is not a guarantee that every prohibited or sensitive item will be found, and it is not legal advice.
5. How we enforce the baseline
If we reasonably believe User Content or use of the Service violates Section 3, we may remove or restrict that content, suspend or terminate accounts, and cooperate with law enforcement or other authorities as required by law. We may also act to protect the Service, other Customers, or our people.
We do not undertake to monitor all User Content. Failure to act in a particular case is not a waiver of this AUP.
6. Reporting
If you believe content on the Service violates this AUP, contact support@memion.com. Customer administrators should use the workspace’s flagging and review tools for the Customer’s own rules.
7. Changes
We may update this AUP as described in the Terms. The “Effective Date” above will change when we do. Continued use of the Service after an update is acceptance of the updated AUP.
